WHAT IS A TRADE SECRET

A trade secret is any information that gives a business a competitive advantage over its competitors. Trade secrets can include things like:
  • Formulas
  • Processes
  • Designs
  • Plans
  • Customer lists
  • Financial data
  • Marketing strategies
To qualify as a trade secret, the information must be:
  • Not known to the public
  • Not easily ascertainable by others
  • Subject to reasonable efforts to keep it secret
Trade secrets are protected by law. If someone steals or uses your trade secrets without permission, you may be able to sue them for damages.
Here are some tips for protecting your trade secrets:
  • Keep the information confidential. Do not disclose it to anyone who does not need to know it.
  • Use non-disclosure agreements (NDAs) with employees, contractors, and other third parties who may have access to your trade secrets.
  • Mark your trade secrets with a confidential notice.
  • Take steps to protect your trade secrets from unauthorized access, such as by using passwords and encryption.

[i] (d) “Trade secret” means information, including a formula, pattern, compilation, program, device, method, technique, or process, that:
(1) Derives independent economic value, actual or potential, from not being generally known to the public or to other persons who can obtain economic value from its disclosure or use; and
(2) Is the subject of efforts that are reasonable under the circumstances to maintain its secrecy. Civ. Code, § 3426.1
